Terms for Professionals
These terms apply to every professional who lists services on MovItaly. They are an agreement between you and Lodato Solutions LLC, a company organised in Delaware, United States ("we", "us"), address A confirmar. They add to our general terms of service. If the two conflict on a point that concerns professionals, these terms win. You accept them when you submit your professional profile, and we record your acceptance together with the version number.
In short. Listing is free. We keep a fixed fee of EUR 10 for each meeting that is booked and completed, and nothing else, unless you choose an optional paid visibility package ("In evidenza"), which clients always see labelled "Sponsored". Stripe collects and pays out the money. How ranking works is explained in plain words on the How ranking works page. You get 15 days' notice of changes, a written reason if we restrict or suspend you, and 30 days' notice before we end the agreement, except in the cases listed below. You can complain at any time.
Who may list
You may list only if you are an adult, at least 18 years old, and you practise a profession or trade in your own name or through a company. A minor cannot be a professional. Your profile must pass our review before it appears in search. The review status of a profile moves from not yet submitted, to submitted, to approved, and it can be suspended later. Only approved and verified profiles are shown to clients.
During review we check your identity, your registration with the relevant professional body where one exists (for example the register of accountants or labour consultants), and your tax details. You must keep this information true and up to date. We may ask for proof again at any time, and we may suspend a profile that we cannot verify. Approval is not a recommendation, and we do not check the quality of your work.
Listing is free; what you pay
Creating a profile, passing review, being listed and receiving booking requests cost nothing. We charge no subscription and no fee for messages. Only two charges can exist:
- the fee of EUR 10 for each executed meeting, described in the next section. It is mandatory and it is the same for every professional;
- the optional "In evidenza" visibility packages, described below. You decide whether to buy one. Nobody has to buy one to be listed or to receive bookings.
Clients may pay a premium subscription for other parts of the Service, and that does not change what you pay or what you earn from a booking.
The fee: EUR 10 per executed meeting
We keep a fee of EUR 10 for each meeting that is booked and executed. A meeting counts as executed only when all of the following are true. The client booked it through the Service and the booking is paid. The meeting took place, and you marked it complete after its scheduled end. The client confirmed it, or did not report a problem within the dispute window of 72 hours, so that it is confirmed automatically. The payment was not refunded. If the booking price is below EUR 10, the fee is the whole price.
No fee is due for a booking that is cancelled, refunded, or disputed and not resolved in your favour. If you do not attend, no fee is due and the client is refunded. If you mark the client as a no-show, you keep the price paid and we take no fee. For a package of sessions, one fee applies to each executed session. For a package that only delivers a document, one fee applies when it is completed. The fee is shown to you on the booking confirmation and on your payout screen, and it is the same for every professional.
This fee is a fixed platform fee for using the Service. It is the same amount whatever your professional fee is, it does not depend on the outcome of your work, and it is not a share of your professional fees.
How booking status works
Each booking carries a fulfilment status. The status names are these: scheduled, marked_complete, confirmed, disputed, no_show_client, no_show_professional, settled and refunded. A booking starts as scheduled once it is paid. After the meeting you set it to marked_complete, which opens the 72 hour dispute window. The client may confirm it, which gives confirmed, or report a problem, which gives disputed. When the window ends with no problem, it becomes confirmed by itself. Money is released only from confirmed, and after release the status is settled.
You can mark a booking complete only after the meeting was due to end. Any other change of status is rejected. If the client does not appear, you may set no_show_client with a short note. If you do not appear or you cancel, the booking is refunded in full and the status becomes no_show_professional or refunded. Every status change creates a notification to both sides, so nobody has to guess where a booking stands.
Payments, payouts and Stripe
Clients pay the full price through our payment partner Stripe, a regulated payment provider, which collects and holds the payment. MovItaly does not take client money into a bank account of its own and does not hold funds on your behalf: we only tell Stripe when to release the transfer. When the booking is confirmed, Stripe transfers the price minus the EUR 10 fee to your Stripe connected account. The fee is the amount we keep, so there is no separate fee charge on your card or bank account. The minimum price of a booking is EUR 20.
To receive money you must create a Stripe connected account. Stripe collects your identity and bank details and checks them, and the Stripe Connected Account Agreement applies between you and Stripe. We do not see your full bank details. We release the transfer after a booking is confirmed. Stripe then pays out to your bank on the schedule of your Stripe account. A failed transfer is retried on the next run. If you have no active connected account, or online payment is not available, a client may pay you directly. The fee is still owed in that case. We record it when the booking is confirmed and take it from your next transfer, or invoice it in a monthly statement. Taking a booking off the platform to avoid the fee is not allowed.
Taxes, invoices and tax reporting (DAC7)
You are responsible for your own taxes, for your invoices to clients, and for any VAT or professional contributions that apply to your fees. You issue the invoice to the client for your service. We issue you a monthly statement for the platform fee, showing the amounts collected, the number of executed meetings, the fees and the net paid out. The VAT treatment of our fee, including reverse charge for business customers in Italy, is as follows: A confirmar. Professionals without a VAT number need a separate treatment that counsel will confirm.
As an online platform we must report certain seller income to the tax authority under the EU rules on platform reporting (Directive 2021/514, known as DAC7). For that we collect your legal name, address, tax code, VAT number if you have one, and the amounts paid to you. We ask for these before onboarding and share them with the tax authority as the law requires. If you do not give them when asked, we may hold payouts and suspend your listing until you do.
Cancellations, no-shows and refunds
A client who cancels more than 24 hours before the start receives a full refund, and you pay no fee. We apply no late-cancellation keep by default, so a late cancellation is also refunded in full unless we tell you otherwise in the booking screen. If you cancel or do not attend, the client is refunded in full. If the client does not attend, you keep the price and no fee is due. You may reschedule by agreement with the client inside the booking, and the new time replaces the old one. After a booking is settled, a refund needs a decision by our support team.
You may not change the price after a client has paid. The refund amount is calculated by the system from the booking status and never entered by the client, so that both sides get the same result for the same facts. A refund goes back to the original payment method.
Disputes and chargebacks
A client can report a problem inside the 72 hour window. The booking is then disputed and no money is released. Please answer our questions within 5 days. We look at the booking record, the messages inside the booking and anything either side sends, and we decide a full refund, a part refund or a release to you. We tell both sides the reasons. This does not remove your right to go to court or to another body.
If a client disputes the payment with their bank, Stripe may take the amount back from the platform. Where the booking was not properly executed, we may recover the amount, and the fee we already kept, from your next transfers or ask you to repay it. We will give you the evidence we hold so you can answer.
Messages and conduct
You can message a client inside a booking. A premium adult client may also start a direct conversation with you; users aged 14 to 17 can chat only inside a booking approved by their guardian. You may not use messages to pursue clients who did not contact you first, ask for money outside the Service for a booking made here, or move a client to another platform to avoid the fee. You must follow the community rules. Be honest about your qualifications and your prices.
You must follow the rules of your profession, such as your register, your code of conduct and the limits on advertising for your profession. You must not give a service you are not allowed to give, and you must hold any insurance your profession requires. We do not take responsibility for your professional advice.
Protecting minors
Some clients are 14 to 17 years old. Their bookings need approval by a parent or guardian before they are confirmed, and the guardian pays or approves payment. You may not start a conversation with a minor. You may answer only inside an approved booking. Keep all contact with a minor inside the Service and limited to the booking. Do not ask for photos, personal contact details, meetings outside the booking or anything not needed for the service. Report any worry at once to A confirmar. We may suspend you at once and may inform the authorities.
Reviews policy
Only a client with an executed booking with you can leave a review, and only one review for each booking. This is how we make sure reviews come from people who really used the service. You cannot review yourself, pay for reviews, offer a reward for a review, or ask for a review only if it is positive. You may reply once to a review. We do not remove a review because it is negative, and we do not hide or reorder reviews to favour a professional. We may remove a review that breaks the community rules or the law, and we tell the professional and the author why. The ratings clients see, and the ratings used in ranking, come from these reviews only. What we tell consumers about the authenticity of reviews is on the page How ranking works.
How search ranking works
Search and recommendations show professionals in an order based on these main parameters, which are explained in plain words on the page How ranking works:
- how well your specialties match what the client is looking for, the language you share with the client, your city or whether you work remotely, and your average rating adjusted for the number of reviews. These four make up the match score, and payment never changes it;
- then your availability in the coming days, your response time and your price compared with the client's budget, which influence the order of results with a smaller weight;
- whether you are verified: a profile that is not fully verified is shown a little lower;
- a small share of results is reserved for professionals with fewer reviews, so that new professionals can be seen.
The profile shows the main reasons for a match. Clients can choose a plain sort (rating, price, soonest), a "best fit, no sponsored" option, and can switch personalisation off. The current weights and a dated list of changes are on the public page, which reads them live from the platform settings. The only difference in treatment between professionals is the paid packages described below, and the rules above apply to everybody in the same way.
Paid visibility packages ("In evidenza")
You may buy "In evidenza" packages on the web studio, only with a valid VAT number. A package is the only way to pay for visibility. It gives you a labelled placement: when you already match a client's search (match score of at least 70), you may be shown in one reserved slot. "In evidenza" is the name of the product for you. Clients always see this placement labelled "Sponsored" ("Sponsorizzato"), never "In evidenza", with the line "Sponsored · your match score NN%" and an information button that says who paid.
The limits are these. Position 1 is never paid. At most one sponsored result appears in the first five. None appears in minors' results, in sorts the client chose (rating, price, soonest, best fit without sponsored), for sensitive specialties, or when too few organic results exist. A package does not change your match score, your reasons or your organic position, and the organic list is calculated first and without any campaign. We do not promise any number of views, enquiries or bookings.
You warrant that your use of paid visibility follows the advertising and conduct rules of your professional order, and we may switch packages off for a profession. We pause a campaign only after a human review and send you a statement of reasons. You may contest a pause and get a written decision within 14 days from a second reviewer. If a pause is upheld after a contest, the campaign ends and unused days are not refunded. We give you at least 15 days' notice of changes to package terms or to the main ranking parameters, and 30 days' notice before ending your access to packages, except where the law allows immediate action.
Data you can access and data we use
You can see in your studio the data about your own listing: your profile, your bookings and the messages inside them, the reviews you receive, and statistics about how your profile and any package perform. In a booking you receive the client data needed for it, as described under data protection roles below. You do not receive data about other professionals, about clients who did not book or contact you, or the internal scores of other professionals. We use data about how clients find and book professionals, such as searches, views, bookings, ratings and response times, to run the Service, to rank results and to keep it safe, as our privacy policy describes. We do not hand this data to third parties for their own purposes. You can ask for a copy of your own data at any time at A confirmar.
Information we collect about you as a trader
Under the Digital Services Act (Article 30) we must collect and keep certain information about traders on a marketplace, and we check it as far as we reasonably can. You confirm that you act as a trader and you provide the following:
- your name;
- your address;
- your telephone number;
- your email address;
- a copy of your identification document;
- your payment account details (through Stripe);
- your trade register or professional register number, where you are registered;
- a self-certification that you offer only products and services that comply with the law.
We check these on a best-effort basis and we may show some of them, such as your name and trade details, to clients on your profile, as consumer law requires. If you do not supply them, or they turn out to be false, we may suspend your listing.
Clients see on your profile that you offer your services as a professional or trader, with the details you have chosen to publish. We keep the information above for as long as the law requires and for a period after your listing ends, and we give it to the authorities when they lawfully ask.
Changes to these terms, suspension and statement of reasons
These terms are written to be clear and are available to you before you apply, while you use the Service and on request, in English and Italian. We keep earlier versions available.
We give you at least 15 days' notice before a material change to these terms, or to the main ranking parameters, takes effect, by email and in the Service. A shorter time applies only if the law or a security need requires it, or if you agree. You may end your listing before the change takes effect, and doing so is not a breach. If you keep using the Service after the change takes effect, the new version applies.
If we restrict, suspend or remove your profile or a package, we send you a statement of reasons, for example failed verification, breach of these terms, a legal duty or a risk to clients. It names the facts and the rule that applies and says how you can contest it. We send it before the decision takes effect, or at the latest when it does where the law allows.
Ending the agreement
You may stop listing at any time by unpublishing or deleting your profile. Bookings already paid must be carried out or refunded first. We may end the agreement or stop your access only after giving you at least 30 days' notice with a statement of reasons. We may act sooner, without that notice, only where the law requires it, where you repeatedly break these terms, or where staying listed puts clients, minors or the Service at serious risk; in those cases we still tell you the reasons. After the agreement ends, we keep the data that the law requires us to keep (invoices, payment and tax records, trader information) and handle the rest as our privacy policy says.
Complaints and mediation
You may complain about any decision, ranking, payment, fee or restriction through A confirmar. We confirm that we received it, review it again, and answer in writing with reasons in a reasonable time. For a paused campaign the 14 day decision above applies. If we cannot settle it, you may ask a mediator. The mediators we work with are A confirmar. You also keep the right to go to court. Complaints about content go through our notice on reporting content.
Data protection roles
For the data you give us we act as controller, as described in our privacy policy. When you receive client data in a booking, such as a name, a message or a document, you are an independent controller for that data. You must use it only for the booking, protect it, keep it no longer than the law requires, and answer the client's rights requests. We do not instruct you as a processor. Our hosting is in the European Union, in AWS eu-south-1, and document text recognition runs in eu-central-1.
Contact and governing law
Write to A confirmar for any question about these terms. This agreement is governed by A confirmar. The rules that cannot be waived under the law of the country where you work, and any court or body that has jurisdiction over you by law, stay in force.
